1. Agreement and eligibility
By creating or using a ProjectOS account, or by accepting these Terms for an organisation, you agree to these Terms and the Privacy Notice. You must be at least 18 and legally able to enter the agreement. If you act for an organisation, you represent that you are authorised to bind it.
2. The service
ProjectOS is a project operating system that can plan work, route AI capabilities, execute bounded digital tasks, preserve project records, and request human intervention. Outputs can contain errors. ProjectOS is not a legal, medical, financial, engineering, employment, or other licensed professional and does not replace qualified human judgment.
3. Authority and human control
You remain the Project Owner and are responsible for the objective, supplied information, approvals, and use of outputs. ProjectOS does not receive authority to change the project purpose, disclose credentials, make payments, enter contracts, accept legal obligations, publish externally, or perform irreversible actions unless an authorised person separately completes or expressly approves the specific action.
4. Accounts and controlled access
Access may be invite-only. You must provide accurate account information, keep authentication channels secure, and notify us promptly of suspected unauthorised access. An account is for its authorised holder and may not be transferred or shared in a way that defeats access controls.
5. Customer content and instructions
You retain ownership of project names, objectives, source material, instructions, and other content you submit. You grant us a limited licence to host, copy, process, and transmit that content only as needed to provide, secure, support, and improve the service. You must have the rights and lawful basis needed to submit the content and must not submit secrets or regulated data unless the service and your agreement expressly support it.
6. AI processing and third-party services
With your recorded consent, ProjectOS sends the project context identified in its provider disclosure to OpenRouter and the selected model provider. Optional GitHub execution occurs only against the repository locked to a project and only after the required approval. Authentication, hosting, email, payment, and infrastructure providers process limited data for their functions. Those services are also governed by their own terms.
7. Acceptable use
You may not use ProjectOS to violate law or third-party rights; distribute malware; evade security controls; obtain unauthorised access; generate or facilitate fraud, abuse, discrimination, surveillance, or physical harm; make fully automated high-impact decisions about people; or present unreviewed AI output as licensed professional advice. We may suspend work that threatens people, data, systems, or the service.
8. Beta service
The controlled beta is free, limited, and may change. Beta features may be incomplete or unavailable and are provided for evaluation. We may impose participation, project, model, usage, or support limits and may withdraw beta access after reasonable notice where practicable.
9. Founding plan, billing, and taxes
The ProjectOS Founding plan is $149 USD per account per month and includes up to $10 USD of AI-provider usage per billing month. Provider calls stop at the applicable hard ceiling; ProjectOS does not impose automatic AI-usage overages. Billing begins only after explicit activation. Subscriptions renew monthly until cancelled and remain available through the paid period. Except where law requires otherwise, paid periods and consumed provider usage are non-refundable. Prices exclude applicable taxes.
10. Intellectual property
We and our licensors retain all rights in ProjectOS, its software, design, operating model, and service materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal projects. No right is granted to reverse engineer, resell, or create a competing service from non-public ProjectOS materials except where law does not permit that restriction.
11. Confidentiality
Each party will protect the other party’s non-public information using reasonable care and use it only for the agreement. This does not cover information that was lawfully known without restriction, becomes public without breach, is independently developed, or is lawfully received from another source.
12. Availability and changes
We aim to preserve durable project state, but the service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, a particular model, or that output will be accurate, complete, lawful, or fit for a specific purpose. We may change the service and will provide reasonable notice of material changes that adversely affect a paid plan.
13. Disclaimers and liability
To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or loss of profits, revenue, goodwill, or data. Our aggregate liability arising from ProjectOS will not exceed the amount you paid for ProjectOS in the three months before the event giving rise to the claim. These limits do not apply where they are prohibited by law.
14. Indemnity
You will defend and indemnify SmartTeddy Inc and its affiliates against third-party claims arising from unlawful customer content, your use of output or external actions, your breach of these Terms, or your violation of another person’s rights, except to the extent caused by our breach or wilful misconduct.
15. Suspension and termination
You may stop using ProjectOS and may cancel a paid subscription before renewal. You can export account data and invoke account deletion from the application. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use, or where required by law. Provisions that by their nature should survive will survive termination.
16. Governing law
These Terms are governed by Delaware law, without regard to conflict-of-law rules. State and federal courts located in San Francisco, California have exclusive jurisdiction, except that either party may seek urgent equitable relief in any competent court.
